1. Acceptance and operator
These terms are an agreement between you and KTMA SOLUTIONS, a business corporation established in Quebec, Canada, which publishes and operates Instruzic, one of its products (full contact details in the legal notice). They apply to the site, the web app, the mobile app and the Instruzic services. By creating an account or using the service, you accept these terms; the privacy policy explains how your information is handled.
If you do not accept these terms, you must not use the service. The mandatory rights granted to you by consumer protection laws remain applicable.
2. Description of the service
Instruzic offers music lessons, learning paths, exercises and practice tools for six instruments, including progress tracking and analysis of your playing with the microphone. The content is educational and does not guarantee any specific result. The essential characteristics of each offer and its technical requirements are presented before any purchase.
3. Eligibility and minors
You must have the capacity to enter into this agreement. Instruzic does not collect dates of birth and does not currently have a mechanism to verify age or parental authority. Some uses of Instruzic by minors are subject to the authorisation or consent of a parent or legal representative under the law of the place of residence; if such an authorisation is required and cannot be established, KTMA SOLUTIONS may restrict the processing concerned while the situation is reviewed. Any purchase by a minor must be made by their parent or guardian or with their authorisation. Profiles for children in the Family plan are not available.
4. Account and security
You must provide a valid email address, keep your details up to date and protect your password. You are responsible for activity carried out with your account, unless it results from a fault of KTMA SOLUTIONS or the law provides otherwise. Promptly report any unauthorised access to contact@ktmasolutions.com. We may take reasonable measures needed to protect your account and the service.
5. Licence and intellectual property
KTMA SOLUTIONS and its licensors remain the owners of the service, software, interfaces, trademarks and content. Subject to these terms, we grant you a personal, limited, non-exclusive, non-transferable and revocable licence to use the service for private, non-commercial purposes.
You may not copy, sell, rent, redistribute, circumvent protections, disassemble or commercially exploit the service, except to the extent expressly permitted by law.
6. Content you provide
You keep your rights in what you send (for example an imported audio file or a profile photo). You grant KTMA SOLUTIONS a limited permission to host it, copy it technically, process it and give it back to you, only to provide and secure the feature you requested. This permission ends when the content is deleted, subject to the backups and legal obligations described in the privacy policy.
You must hold the necessary rights in what you import and must not infringe the rights of others.
7. Acceptable use
You must not use Instruzic to break the law, harm others, transmit malicious content, circumvent a security measure, disrupt the service, access an account without authorisation, scrape it abusively, copy or resell the service.
We may limit or suspend an account when reasonably necessary to stop a violation, protect users or comply with the law. Where possible, we tell you why, and you can write to us to ask for a review.
8. Free access, paid offers and renewal
Free access. Without payment and without time limit, Instruzic gives access to the first module of each of the six instruments with its assessment, to the placement test and to a limited amount of microphone practice each week, as shown in the app.
Sales. The paid offers are not currently open for subscription: no payment is requested today. The rules below will apply to purchases made once they open.
Information before purchase. Before payments open, the purchase flows will have to present the pre-contract information required in the territory concerned, including the identity of KTMA SOLUTIONS (name, address, phone, email), let you check and, where the law requires it, correct the order before confirming, and then provide the contract information on a medium you can keep. The specific conditions of the offer, shown and accepted at subscription, will state in particular the price, currency, taxes, duration, any renewal, the trial, cancellation and the applicable legal rights. The terms of purchases made in app stores will also be presented in the corresponding screens, subject to the consumer’s mandatory rights.
Two payment modes are planned, depending on the payment method chosen:
- Automatically renewing subscription (card through Stripe, App Store, Google Play): it renews automatically for the period shown, at the displayed price, until it is cancelled; cancellation takes effect at the end of the current period and prevents the next payment. How to cancel will be shown before subscription; for direct purchases, the means of cancellation will be presented in the subscription management area and the contract information; purchases made in the App Store or Google Play are managed from the store concerned.
- Prepaid plan without renewal (mobile payment through Flutterwave or PayDunya): it gives access for the purchased duration (7, 30 or 365 days) and does not renew; a new purchase extends the current period.
Trial. The automatically renewing annual Premium subscription may include a free 7-day trial, once per account. The first payment is charged at the end of the trial unless you cancel before; the price after the trial and the date of the first charge are shown before you confirm.
No late fees and no late-payment penalties are charged.
9. Refunds and consumer rights
Commercial refund guarantee for direct purchases (card through Stripe, mobile payment through Flutterwave or PayDunya). KTMA SOLUTIONS grants, as a commercial guarantee, a full refund on request made within 14 days after the payment to contact@ktmasolutions.com, provided no paid feature has been used. A paid feature is content or a feature available only through the paid offer, for example a module beyond the free access, the use of analysis credits included in the offer or the management of a Family household. The refund is made to the same payment method as the original transaction. Once this period has passed, or when a paid feature has been used, this commercial guarantee no longer applies. This limitation does not change legal withdrawal rights, remedies for non-conformity or non-performance, or any other mandatory refund obligation.
Purchases made in the App Store or Google Play. Payment, renewal, cancellation and refunds are handled by Apple or Google under their own procedures; refund requests are made to the store, without prejudice to the consumer’s mandatory rights. Deleting your Instruzic account does not count as cancellation with an app store.
Consumers in Quebec. If the contract is concluded at a distance, you have the rights provided by the Quebec Consumer Protection Act, including, in the cases and time limits it sets, the right to cancel the contract when the required information or copy of the contract was not given to you.
Right of withdrawal for consumers in the European Union. Where European law on distance contracts applies, you in principle have 14 days from the conclusion of the contract to notify your decision to withdraw, without giving a reason, by a clear statement sent to contact@ktmasolutions.com, including by means of the model withdrawal form. For distance contracts concluded through an online interface and subject to the applicable European provisions, a function for exercising withdrawal online must also be made available to you throughout the legal withdrawal period; this function and how to access it will be shown when the subscriptions concerned open. For contracts qualifying as services, when you expressly ask for performance to begin during the withdrawal period, the financial consequences of withdrawal are determined by the applicable law, in particular the rules on the part of the service actually provided. For digital content not supplied on a tangible medium, any loss of the right of withdrawal requires the legal conditions specific to that category, in particular your prior express consent, your acknowledgement of the loss of the right and the required contract confirmation. No use of a paid feature amounts, on its own and automatically, to a waiver of a legal right of withdrawal. When a consumer validly exercises the legal right of withdrawal, KTMA SOLUTIONS refunds the sums due in accordance with the applicable law, in principle without undue delay and no later than 14 days after the date it was informed of the decision to withdraw, subject to specific legal rules; the refund is made to the same payment method as the original one, unless otherwise expressly agreed where the law allows, at no cost resulting from the refund. Exercising withdrawal gives rise to the confirmations provided by law, independently of the Instruzic commercial refund guarantee.
The rules above add to the rights the law of your country of residence gives you and do not reduce them.
10. Cancellation and account deletion
You can stop using the service at any time. Deleting your Instruzic account does not automatically cancel a subscription bought in the App Store or Google Play: cancel it in the store. For a subscription bought directly, how active subscriptions are handled when an account is deleted will be stated in the contract information before sales open. You can request deletion in the app or on the Delete your account page; its effects on your information are described in the privacy policy.
11. Availability, updates and third-party services
We aim for reliable availability, but interruptions may occur for maintenance, security, an outage or circumstances beyond our control. We may change the service without reducing rights already acquired by a consumer or the essential elements of an offer already paid for its current period.
Operating systems, stores, payment providers and other third-party services are governed by their own terms. KTMA SOLUTIONS is not responsible for their acts, except where the law provides otherwise.
12. Warranties and liability
The service is provided with the mandatory warranties provided by law. To the extent permitted, we do not guarantee uninterrupted or error-free use and are not liable for indirect or unforeseeable damage that does not result from our fault.
Nothing in these terms limits a liability that cannot legally be excluded, or a consumer’s mandatory warranties and remedies.
13. Changes to these terms
KTMA SOLUTIONS may propose changes to these terms to take account of legislative, regulatory, technical or functional changes. The updated version is published here with its effective date. Any change applicable to a contract in progress is subject to the conditions set by law, in particular regarding reasons, notice, consent and termination where these requirements apply; where the law requires your agreement, the change applies to you only after that agreement, and you may refuse and delete your account. A change does not apply retroactively to a period already paid for where the law forbids it. Acquired rights and mandatory consumer protections remain preserved.
14. Governing law and disputes
These terms are governed by the laws in force in Quebec and the federal laws of Canada that apply there. If you are a consumer, this clause does not deprive you of the protection of the mandatory rules of the law of your country of residence, or of the right to bring proceedings before the competent court those rules give you. Subject to this, the courts of Quebec have jurisdiction. In case of a dispute, please write to us first: we will look for an amicable solution, without limiting your right to apply at any time to the competent authority or court.
15. Languages and general provisions
These terms are available in French and English, with the same meaning. If a provision is held invalid, the others remain applicable to the extent permitted. Not exercising a right immediately is not a waiver. You may not transfer this agreement without our consent; KTMA SOLUTIONS may transfer it in a reorganisation or business transfer, subject to your legal rights.
